The Adoption Lantern Terms and Conditions

Limited Scope

You (also referred to as the "Clients" or "Client"), understand that The Adoption Lantern ("TAL") is serving you exclusively in an advisory capacity. TAL is not a placement agency, adoption agency, or attorney. TAL does not place children nor act as an adoption agency or facilitator. TAL does not work directly with birthmothers, does not arrange for the placement of children, does not identify children for adoption, and does not match adoptive parents with biological parents. The Adoption Lantern does not take consents or surrenders. The Adoption Lantern is not a paid intermediary in the adoption process.

TAL may refer the Clients to adoption agencies, attorneys, medical providers, homestudy agencies or other professionals in the course of TAL's service offering, but these referrals do not constitute endorsement of or a guarantee of services offered by those firms, and TAL has no financial interest in these referrals. It is your responsibility to ensure that any third parties you intend to work with are properly licensed and can provide the services you expect, based upon your state of residency and particular circumstances.

TAL is not a law firm. TAL does not provide legal services, including legal services for when consent forms can be signed and/or become irrevocable, when an adoption is considered final, adoption state laws, laws related to married and putative birth fathers, or federal statutes such as the Interstate Compact on the Placement of Children (ICPC) or the Indian Child Welfare Act (ICWA). TAL may discuss with you or provide information on legal topics from a general advice perspective, but it is always recommended that you consult legal counsel in appropriate jurisdictions.

TAL is also not a financial advisor, tax expert, or medical doctor. TAL does not provide financial or tax services, including tax or investment counsel. TAL may discuss financial, tax, medical, or other topics with you from a general advice perspective, but it is always recommended that you consult counsel in appropriate fields and jurisdictions.

Adoption involves unavoidable risk and uncertain outcomes. While TAL attempts to provide advice that will speed your adoption process and minimize risks, TAL cannot and does not guarantee that you will be approved to adopt, will successfully adopt, or will have a specific outcome within any specified time period.

In view of the foregoing:

You hereby hold TAL harmless from any and all damages and losses of any kind, including those caused or believed to be caused by third parties to which TAL refers you.

Fees

TAL's fees are for education, referrals, and advice only.

For many events, TAL does not charge a fee, such as for free one-on-one sessions or free webinar events. Those events will be denoted as free during registration. TAL charges service fees to those who have applied and been accepted as clients. This agreement is for services, and is non-refundable even if the Clients decide not to pursue adoption or if the Clients become pregnant.

Residents of states with differing restrictions acknowledge that the fees paid to TAL are for profile services only, with other services provided free of charge.

Limitation of Liability

You agree that under no circumstances shall the liability of TAL or any of its employees, agents, directors or officers for any act or omission, under any theory of liability, exceed the amount paid by you to TAL for the services outlined in this agreement.

Clients acknowledge that TAL strongly recommends that Clients not sign any other entity's (e.g. agency's, attorney's, facilitator's) agreements, pay any other entity's fees or expenses in the interest of an adoption, or agree to proceed with any adoption situation, without complete understanding and acceptance of all documentation from that entity.

Clients acknowledge that TAL strongly recommends that Clients seek independent legal counsel to review other entities' (e.g. agency, attorney, facilitator) agreements for understanding, clarification, and interpretation of the agreements in full prior to signing those agreements or accepting any adoption situation. Furthermore, regardless of situation or circumstances, Clients take sole responsibility for proceeding in any capacity with any other entity without independent legal counsel recommendations.

Clients acknowledge and take sole responsibility for ensuring that applicable laws or legal requirements in any jurisdiction are not being violated in the course of working with TAL, and that the Clients are not violating any contracts the Clients may have agreed to with other entities, including by providing adoption situation documentation (including providing social forms, intake forms, names, medical information and documents, or financial documents) to TAL, and/or using TAL's services.

Website and Technology

TAL uses websites and other technology to provide marketing and services to clients and potential clients. TAL's website, technology, and content is provided on an "as is" and "as available" basis. TAL makes no representation or warranty in connection with its websites and does not assume any liability for the accuracy, completeness, timeliness, or suitability of the websites' and technology's content, functionality, or operation. Any other firms or individuals that may be shown on TAL's website are not affiliated with TAL and are separate entities, and TAL makes no guarantees with respect to their products or services.

Privacy

TAL takes your privacy and confidentiality very seriously. TAL will not sell any information to third parties. With your permission or at your direction, TAL may reveal information to adoptions agencies, government entities, or attorneys.

Confidentiality

You agree that information and documents provided to you by TAL are confidential, and are for your personal use only. You agree that agency information, risk assessments, informational documents, web site algorithms or content, emailed content, any other documents or information, and service processes are to be used only for your adoption and shall never be distributed to any other parties, including agencies, homestudy agencies, attorneys, or other professionals in the adoption industry.

You agree to respect the proprietary and confidential nature of TAL's information and documents, and not distribute them to any other parties.

By accessing this website, receiving TAL information or content, signing up for a TAL event, one-on-one session, TAL newsletter, or other TAL session, you acknowledge that you do not work as, work for, you acknowledge that you do not work as, work for, hold an advisory position at, or hold an executive position at an adoption organization, adoption professional firm, adoption advisor, family law firm or family law attorney practice, adoption agency, homestudy agency, adoption consultant, or adoption facilitator.

Termination of this Agreement

Both the Clients and TAL can, at any time, withdraw from and terminate this agreement. TAL will terminate this agreement if the Client has acted in bad faith, provides false or misleading information, or is unreasonable or abusive towards TAL. In the event of termination by either party, TAL is not obligated to refund any client fees, although it may choose to do so to preserve customer goodwill. TAL will not refund any fees if the Clients become pregnant, successfully adopt, or choose to cease pursuing adoption. TAL shall be entitled to payment for all services performed up to and including the date of terminating this agreement.

Miscellaneous

You agree that information submitted to TAL is for the purpose of your personal adoption and is true and accurate to the best of your ability.

Necessarily, in order for TAL to complete the Education components of any package, any profile book, or any customized listing of agencies / attorneys, the Client must have paid the application fee, Meeting 1 payment, and Meeting 2 payment and complete Meeting 1 and Meeting 2 with us.

For Clients whose TAL package specifies that TAL will fill out their placement source applications, TAL agrees to fill out the applications for placement sources that we have included in your initial placement source referral listing. We do not fill out Homestudy applications. Clients must inform TAL which placement source applications they want filled out by TAL within the advice and risk assessment support period noted before (typically 18 months from signing on as Clients). We will require a copy of your final Homestudy (or equivalent information in states where providing a copy of the Homestudy is not permitted) and some information from You in order to complete the applications. Before submitting the applications, You are responsible for verifying all information filled out in the applications is correct and without errors or omissions. Also, You are responsible for doing diligence to confirm each placement source is still in good standing, properly licensed, and is able to place children into your home state. You will be responsible reviewing, signing, and transmitting the completed placement source applications to the placement sources.

This agreement is the entire understanding between the parties relating to the subject matter herein, superseding any prior agreements or understandings, written or verbal. This agreement may be amended only by both parties in writing. The invalidity or unenforceability of any provisions of this agreement shall not affect the validity or enforceability of any other provision of this agreement, which shall remain in full force and effect. This agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall be deemed to be one and the same agreement. A signed copy of this agreement delivered by facsimile, e-mail, online signature service, or other means of electronic transmission shall be deemed to have the same legal effect as delivery of an original signed copy.

Clients understand that this agreement and all terms within are non-negotiable and Clients sole options are to accept this contract in full or not accept its terms at all.

Governing Law; Venue; Jurisdiction

This agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without giving effect to conflicts of laws principles. In any litigation, arbitration, or other proceeding by which Client seeks to enforce its rights under this Agreement and TAL prevails, TAL shall be awarded its reasonable attorney fees, and costs and expenses incurred. You agree that the exclusive venue for any disputes relating to this agreement or to TAL's services hereunder will be the courts located Cook County, Illinois, and you irrevocably consent to the personal jurisdiction of these courts and irrevocably waive, to the fullest extent permitted by law, any objection thereto.
